1. ACCEPTANCE OF THE TERMS

These Terms and Conditions of Use (hereinafter "Terms") constitute a binding legal agreement between you (either as an individual or on behalf of an entity) and LIQUI S.R.L., with address at February 3, 681, Rosario City, Province of Santa Fe, Argentina (hereinafter "Sourced", "we", "us" or "our").

By accessing or using the Sourced platform, including the gosourced.ai website and any related application, API or service (hereinafter the "Platform"), you accept be bound by these Terms. If you do not agree to any part of these Terms, you may not access or use the Platform.

2. DESCRIPTION OF THE SERVICE

Sourced is a procurement automation platform powered by artificial intelligence that allows companies to:

  • Create and manage Purchase Requests.
  • Automate the sending of quote requests (RFQs) to suppliers.
  • Automatically receive and process quotes from suppliers.
  • Compare offers and analyze historical prices.
  • Manage communication with suppliers.
  • Generate purchase orders.
  • Integrate searches into marketplaces (when enabled).

The Service uses artificial intelligence technologies to automate and optimize these processes.

3. REGISTRATION AND USER ACCOUNTS

3.1 Registration Requirements:

To use the Platform, you must create an account by providing accurate, complete and up-to-date information. You declare that:

  • You are at least 18 years old.
  • Has the legal capacity to enter into binding contracts.
  • If you are acting on behalf of a company, you have the authority to bind that company to these Terms.

3.2 Account Security:

You are responsible for:

  • Maintain the confidentiality of your access credentials.
  • All activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

3.3 Organizational Accounts:

The Platform operates under a multi-tenant model where users belong to organizations. The administrator of your organization can manage users, permissions and settings.

4. PLANS AND PAYMENTS

4.1 Subscription plans:

We offer different subscription plans with different features and limits. The specific details of each plan are available on our pricing page.

4.2 Billing:

  • Payments are made in advance depending on the selected billing cycle (monthly or annual).
  • Prices do not include applicable taxes, which will be added as appropriate.
  • Invoices are issued electronically.

4.3 Automatic renewal:

Subscriptions are automatically renewed at the end of each billing period, unless canceled before the renewal date.

4.4 Price Changes:

We reserve the right to change prices with at least 30 days' notice. Price changes will apply in the next billing period.

4.5 Refunds:

Unless otherwise provided or expressly agreed by applicable law, payments made are not refundable.

5. ACCEPTABLE USE

5.1 You agree to:

  • Use the Platform only for legitimate business purposes.
  • Provide truthful and accurate information.
  • Comply with all applicable laws and regulations.
  • Respect the intellectual property rights of third parties.

5.2 You agree not to:

  • Use the Platform for illegal or unauthorized purposes.
  • Attempt to access other users' accounts or data without authorization.
  • Interfering with the operation of the Platform or its servers.
  • Reverse engineer, decompile or disassemble any part of the Platform.
  • Use robots, scrapers or other automated means to access the Platform without authorization.
  • Transmit viruses, malware or other malicious code.
  • Send unsolicited mass communications (spam) through the Platform.
  • Use the Platform to compete directly with Sourced.
  • Impersonate another person or entity.

6. EMAIL INTEGRATION

6.1 Authorization:

By connecting your email account to the Platform, you authorize us to:

  • Access, read and process emails related to purchasing processes.
  • Send emails on your behalf to suppliers.
  • Store communications relevant to the operation of the Service.

6.2 Responsibility:

You are responsible for the content of the emails sent through the Platform and for ensuring that you have the right to share the information contained in the emails to which it gives us access.

6.3 Revocation:

You can revoke access to your email at any time through the Platform settings or your email provider.

7. ARTIFICIAL INTELLIGENCE AND AUTOMATED CONTENT

7.1 Use of AI:

The Platform uses third-party artificial intelligence technologies (including Anthropic, OpenAI and Google) to:

  • Process and categorize purchase requests.
  • Analyze and extract information from quotes.
  • Suggest suppliers and compare offers.
  • Automate communications with suppliers.

7.2 Limitations:

  • AI-generated content is provided "as is" and may contain errors or inaccuracies.
  • AI suggestions and analyses are indicative and do not constitute professional advice.
  • You are responsible for reviewing and validating any purchase decision before executing it.
  • Sourced does not guarantee the accuracy, completeness, or appropriateness of AI-generated content.

7.3 Human Oversight:

Critical purchasing decisions must be reviewed and approved by authorized personnel in your organization. AI acts as an assistive tool, not as a substitute for human judgment.

8. INTELLECTUAL PROPERTY

8.1 Sourced Property:

The Platform, including its design, code, functionalities, brands, logos and original content, is the exclusive property of Sourced or its licensors. These Terms do not grant you no ownership rights over the Platform.

8.2 User License:

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with these Terms.

8.3 User Content:

You retain ownership of the data and information you upload or generate on the Platform. By using the Service, you grant us a license to use, process and store such content for the sole purpose of providing the Service.

8.4 Feedback:

Any suggestions, ideas or comments you provide us with regard to the Platform may be used by Sourced without obligation to compensate.

9. CONFIDENTIALITY

9.1 Confidential Information:

We are committed to maintaining the confidentiality of your business information, including supplier data, prices and trading terms.

9.2 Exceptions:

Information that:

  • Be in the public domain without violating these Terms.
  • It was already in our possession without obligation of confidentiality.
  • Be developed independently by us.
  • It must be disclosed as required by law.

10. PRIVACY AND PERSONAL DATA

The processing of personal data is governed by our Privacy Policy, available at gosourced.ai/privacy-policy, which forms an integral part of these Terms.

11. AVAILABILITY OF THE SERVICE

11.1 Availability:

We strive to keep the Platform available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted availability.

11.2 Maintenance:

We may perform scheduled or emergency maintenance that may temporarily affect the availability of the Service. We will try to notify you of scheduled maintenance with reasonable anticipation.

11.3 Amendments:

We reserve the right to modify, suspend or discontinue any aspect of the Platform at any time, with or without notice.

12. LIMITATION OF LIABILITY

12.1 Exclusion of Warranties:

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MARKETABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

12.2 Damage Limitation:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOURCED WILL NOT BE RESPONSIBLE FOR:

  • Indirect, incidental, special, consequential or punitive damages.
  • Loss of benefits, revenue, data or use.
  • Costs of purchasing substitute services.
  • Any damage that exceeds the total amount paid by you to Sourced in the twelve (12) months prior to the event giving rise to the claim.

12.3 Exclusions:

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above exclusions may not apply to you.

13. INDEMNIFICATION

You agree to compensate, defend and hold Sourced, its directors, employees, agents and licensors harmless from any claims, damages, losses, liabilities, costs or expense (including reasonable attorneys' fees) that arise from:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your violation of the rights of third parties.
  • The content you provide through the Platform.

14. TERMINATION

14.1 By the user:

You can cancel your account at any time through the Platform settings or by contacting us. The cancellation will be effective at the end of the billing period in force.

14.2 By Sourced:

We may suspend or terminate your access to the Platform at any time if:

  • Violates these Terms.
  • You do not pay the corresponding fees.
  • Use the Platform in a way that could harm Sourced or third parties.
  • By legal requirement.

14.3 Effects of Termination:

Upon termination:

  • Your right to use the Platform will cease immediately.
  • You will not have access to your account or to the stored data.
  • Those sections of these Terms that by their nature must survive, will continue in effect.

14.4 Exporting data:

Before termination, you can request an export of your data in a standard format.

15. APPLICABLE LAW AND JURISDICTION

15.1 Applicable Law:

These Terms will be governed and interpreted in accordance with the laws of the Argentine Republic.

15.2 Jurisdiction:

For any dispute arising from these Terms, the parties submit to the exclusive jurisdiction of the ordinary courts of the city of Rosario, Province of Santa Fe, Argentine Republic, renouncing any other jurisdiction that may apply to them.

16. GENERAL PROVISIONS

16.1 Entire Agreement:

These Terms, together with the Privacy Policy and any additional agreements you enter into with Sourced, constitute the entire agreement between you and Sourced.

16.2 Amendments:

We reserve the right to change these Terms at any time. Material changes will be notified at least 30 days in advance. The continued use of Platform after such changes constitutes your acceptance of the modified Terms.

16.3 Assignment:

You may not assign or transfer these Terms without our prior written consent. Sourced may assign these Terms without restriction.

16.4 Disclaimer:

Failure to exercise any right under these Terms will not constitute a waiver of such right.

16.5 Divisibility:

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16.6 Relationship of the parties:

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Sourced.
